Overview

Welcome to Thea London. These Terms of Service (“Terms”) are a legally binding agreement between you (“you”, “your”) and T.vP. Studios, operating as Thea London (“Thea London”, “we”, “us”, or “our”).

We operate this website and online store, including all related information, content, features, tools, products, and services (collectively, the “Services”), to provide you with an online shopping experience.

Our store is powered by Shopify, which allows us to provide the Services to you. By visiting, browsing, interacting with, placing an order through, or otherwise using any part of the Services, you agree to be bound by these Terms and by the policies linked below.

Important: These Terms do not affect your statutory rights as a consumer under applicable UK consumer protection laws.

1. Eligibility and Account

By using the Services, you confirm that you are at least the age of majority in your country of residence, or that you have obtained valid consent from a parent or legal guardian where required by applicable law.

To access certain features or place an order, you may be required to provide information such as your email address, billing and shipping details, and payment information. You agree that all information you provide is accurate, current, and complete and that you have the right to provide it.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not sell, assign, transfer, or license your account to another person without our permission.

2. Products and Product Information

We strive to display product descriptions, images, colours, sizes, measurements, specifications, and other details as accurately as reasonably possible. However, product colours and appearance may vary depending on your device, screen settings, lighting, and display configuration.

Product descriptions, availability, prices, discounts, and promotions may be updated from time to time. We reserve the right to limit the sale of products to any person, household, geographic region, or jurisdiction where reasonably necessary and permitted by law.

Nothing in these Terms excludes or limits your rights where goods are faulty, not as described, not of satisfactory quality, or otherwise do not meet the standards required under applicable UK consumer law.

3. Orders and Acceptance

When you place an order through our website, you are making an offer to purchase the selected products. We reserve the right to accept, decline, or cancel an order where permitted by law, including in cases of suspected fraud, obvious pricing errors, product unavailability, payment issues, or materially incorrect order information.

An order is not considered accepted until we have confirmed it and payment has been successfully authorised or processed. After you place an order, you should review your order confirmation carefully and contact us as soon as possible if any details are incorrect.

If we cancel or materially change an order, we will attempt to notify you using the contact details provided at checkout. Where payment has already been taken for a cancelled order, we will refund the relevant amount to your original payment method.

Returns, cancellations, and refunds are governed by our Return & Refund Policy.

Unless otherwise expressly agreed, purchases made through the Services are intended for personal or household use and not for unauthorised commercial resale.

4. Prices, Payments, Taxes, and Duties

Prices, discounts, and promotions may change from time to time. The price applicable to your purchase will be the price displayed when your order is placed and confirmed during checkout.

Prices are displayed in the currency shown on our website or at checkout. Applicable delivery charges, taxes, duties, or other mandatory charges that we are required to disclose will be shown or explained to you before you complete your order, where required by applicable law.

Where customs duties, import taxes, or other charges may apply to a shipment, information regarding those charges will be provided where required and reasonably available to us.

You agree to provide current, complete, and accurate purchase and account information for all orders. Payment must be successfully authorised before an order is processed.

5. Shipping and Delivery

Shipping details, estimated delivery times, shipping costs, and delivery conditions are governed by our Shipping Policy.

Delivery times are estimates unless expressly stated otherwise. Delays may occur due to carrier operations, customs processing, weather conditions, peak periods, incorrect shipping information, or other events outside our reasonable control.

Nothing in this section affects any delivery rights or remedies you may have under applicable consumer law.

For consumer orders, risk in the goods passes to you when the products are delivered to you or to a person identified by you to receive them, except where applicable law provides otherwise.

6. Right to Cancel and Consumer Rights

If you are a consumer in the United Kingdom purchasing goods online, you normally have the right to cancel your order within 14 days after receiving the goods, without giving a reason, unless a legal exception applies.

After notifying us that you wish to exercise your statutory cancellation right, you will normally have a further 14 days to return the goods, subject to applicable law and any relevant exceptions.

You may also have legal rights and remedies if goods are faulty, not as described, not of satisfactory quality, or not fit for purpose. Nothing in these Terms limits or excludes those statutory rights.

7. Intellectual Property

The Services and all content within the Services, including trademarks, logos, text, graphics, images, videos, audio, layouts, designs, and software, are owned by Thea London, T.vP. Studios, our licensors, or other applicable rights holders and are protected by intellectual property laws.

You may use the Services for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works from, publicly display, sell, license, or otherwise exploit any part of the Services without our prior written consent, except where permitted by law.

8. Optional Tools

We may provide access to optional third-party tools or features. These tools may be provided “as is” and “as available”, without warranties from us, to the fullest extent permitted by law. Your use of third-party tools may also be subject to the relevant third party’s own terms and policies.

9. Third-Party Links

The Services may contain links to third-party websites, services, or resources. We are not responsible for third-party content, policies, products, services, or practices except to the extent responsibility cannot lawfully be excluded.

10. Relationship With Shopify

Thea London uses Shopify to power the Services. Purchases made through our store are transactions between you and T.vP. Studios, operating as Thea London, unless expressly stated otherwise.

Shopify provides the ecommerce technology used by our store but is not the seller of the products you purchase from us.

11. Privacy

Our collection, use, storage, and disclosure of personal information is described in our Privacy Policy. Shopify and other service providers may also process personal information in connection with providing their services to us.

12. Feedback and Reviews

If you submit ideas, suggestions, reviews, images, comments, or other content (“Feedback”), you confirm that you own or have the necessary rights to submit that Feedback and that your submission does not violate applicable law or third-party rights.

Subject to applicable law, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, distribute, adapt, and display Feedback in connection with our Services, website, marketing, and legitimate business operations.

This licence does not affect any rights that cannot legally be waived or transferred.

13. Errors and Inaccuracies

We may occasionally have typographical errors, inaccuracies, or omissions relating to product information, pricing, promotions, offers, shipping charges, transit times, or availability.

We reserve the right to correct errors, inaccuracies, or omissions and update information where reasonably necessary and permitted by law.

Where an obvious error affects an order, we may contact you to provide the correct information or, where permitted by law, cancel the affected order. If an order is cancelled after payment has been taken, we will refund the relevant amount.

14. Prohibited Uses

You agree not to use the Services for any unlawful, fraudulent, abusive, or harmful purpose, or in any way that could unlawfully harm Thea London, T.vP. Studios, Shopify, our customers, or others.

Prohibited uses include, without limitation:

  • Attempting to interfere with the security or proper functioning of the Services;
  • Introducing or transmitting malware, malicious code, or harmful technologies;
  • Attempting unauthorised access to systems, accounts, or information;
  • Scraping or harvesting protected data without permission where such activity is unlawful;
  • Impersonating another person or misrepresenting your identity;
  • Using the Services to commit fraud or other unlawful acts;
  • Using the Services in violation of applicable laws or third-party rights.

We may suspend or terminate access to the Services where we reasonably believe that you have materially violated these Terms or used the Services in an unlawful or harmful manner.

15. Termination

We may terminate or suspend your access to the Services where reasonably necessary and permitted by law, including where you materially breach these Terms or use the Services in a harmful, fraudulent, unlawful, or abusive manner.

Termination does not affect rights, obligations, payments, refunds, or liabilities that arose before termination. Sections that by their nature should continue after termination will remain in effect.

16. Disclaimer of Warranties

We aim to provide the Services with reasonable care and skill. However, websites and online services may occasionally experience interruptions, maintenance, technical errors, or availability issues.

To the fullest extent permitted by law, we do not guarantee that the Services will always be uninterrupted, error-free, or available at all times.

Nothing in these Terms excludes or limits any legal warranties, guarantees, consumer rights, or remedies that cannot lawfully be excluded or limited.

17. Limitation of Liability

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability that cannot be excluded or limited under applicable law.

If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for losses that were not reasonably foreseeable when the contract was made.

We supply products and Services for private and domestic use. If you use them for commercial, business, or resale purposes outside the scope of our agreement with you, we will not be responsible for business losses such as loss of profit, revenue, business opportunity, or anticipated savings, to the extent permitted by law.

Nothing in this section affects your statutory consumer rights.

18. Responsibility for Your Use of the Services

You are responsible for your use of the Services and for complying with these Terms and applicable law.

To the extent permitted by law, you may be responsible for reasonably foreseeable losses or costs that we incur as a direct result of your fraudulent, unlawful, or deliberately harmful use of the Services.

Nothing in this section requires a consumer to compensate us for losses or liabilities where doing so would be unfair or unlawful under applicable consumer protection law.

19. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where possible. If that is not possible, the relevant provision will be treated as removed.

The remaining provisions will continue in full force and effect.

20. Waiver and Entire Agreement

Our failure or delay in enforcing a right under these Terms does not automatically constitute a waiver of that right.

These Terms, together with the policies expressly incorporated into them, constitute the agreement between you and us regarding your use of the Services and purchases made through our store, subject always to any statutory rights and protections that apply to you.

21. Assignment

You may not transfer your contractual rights or obligations under these Terms to another person without our prior written consent, except where applicable law gives you the right to do so.

We may transfer our rights and obligations under these Terms to another organisation, for example in connection with a merger, acquisition, restructuring, or sale of our business, provided that doing so does not reduce the legal rights available to you as a consumer.

22. Governing Law and Venue

These Terms and any contractual relationship between you and us are governed by the laws of the Netherlands, except where mandatory consumer protection rules applicable in your country of residence provide you with additional or overriding protection.

If you are a consumer residing in the United Kingdom, nothing in these Terms deprives you of mandatory protections available to you under applicable UK consumer law or of any right you may have to bring proceedings before a court that has jurisdiction under applicable law.

Headings are included for convenience and readability only and do not affect the interpretation of these Terms.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, business practices, technology, or applicable legal requirements.

The “Last updated” date at the top of this page indicates when these Terms were most recently revised.

Changes will not retrospectively alter the terms applicable to an order or contract already concluded with you unless permitted or required by applicable law.

Your continued use of the Services after updated Terms are published will be subject to the updated Terms in relation to future use, subject to applicable law.
